INTRODUCTION
Welcome to Kneat Academy. Take your paperless validation skills to the next level with training from Kneat Academy! Kneat Academy is operated by Kneat Solutions Limited (“we”, “us” or “our”). These terms and conditions (“Terms”) apply to all enrolments and bookings for online open day courses offered on Kneat Academy. Kneat Academy customer training courses for customer organisations are not subject to these Terms and separate terms and conditions apply to enrolment and participation in those courses.
As well as these Terms, it is your responsibility to read the following additional documents:

By submitting your enrolment and payment of the fee, you: (a) confirm that you have read, understand and are agreeing to comply with these Terms; and (b) agree to us collecting and processing your personal data in accordance with our privacy policy. If you are enrolling or participating in a Kneat Academy open day course on behalf of your firm or organisation, you confirm that you have the legal authority to bind them to these Terms.

ENROLMENT
You must be 18 years of age or older to enrol and participate in a Kneat Academy open day course. You must have sufficient fluency in the language in which the open day course is presented. When enrolling or participating in a Kneat Academy open day course you must comply with all applicable laws.
You must provide accurate, current and truthful registration information and keep it up-to-date. By enrolling you confirm that you are not a person banned or restricted from enrolling or participating in Kneat Academy and your enrolment or participation in Kneat Academy does not violate any applicable law. Once you have successfully enrolled in a Kneat Academy open day course we will send you a confirmation email to the email address provided when you enrolled.
You must keep any user ID and password associated with Kneat Academy secure and confidential and must not disclose it to any third party. Enrolments are not transferrable.
Any booking for an open day course is subject to availability. We have the right, in our sole discretion, to reject any application to enrol in any Kneat Academy online course. For example, the course may have limited availability, we may not offer certain online courses in certain territories, or we may deem that your performance in a previous online course does not meet our course standards.
The Kneat Academy course descriptions and summary of content set out on our website and in our publications are for general information purposes only. We have the right to change the course content, speakers, trainers, assessment criteria or syllabus at any time in our sole discretion.
PAYMENT
To enrol and participate in a Kneat Academy open day course you must pay the applicable fee in full at the time of enrolment. We do not invoice for fees, or accept payment, by instalments. You will not be enrolled until we notify you that we have received full payment of the fee in cleared funds.
We will bill all fees in euro (€). We accept payment by all major credit / debit cards and PayPal. We will charge VAT at the applicable rate. All fees are non-refundable except as otherwise stated in these Terms.
PUBLIC OPEN DAY COURSES
Kneat Academy’s online public open days offer online paperless validation training to the general public, every month.
To enrol in a Kneat Academy public open day course you must meet certain course entry requirements that we set. In particular, to enrol in:
End User training, no entry requirements apply;
• Power User Level 1, you must first successfully complete End User training; • Power User Level 2, you must first successfully complete Power User Level 1 and End User training; and • Super User, you must first successfully complete Power User Levels 1 and 2, and End User training.
Partner OPEN DAY COURSES
Kneat Academy’s online partner open day courses allow you to become a Kneat expert, manage deployments and train your own customers with our advanced paperless validation apprenticeship tailored to partners.
You acknowledge that we offer Kneat Academy partner open day courses for business purposes only and not for your personal or domestic use as a consumer.
To enrol in a Kneat Academy partner open day course you must meet certain course entry requirements that we set. In particular, to enrol in:
End User training, no entry requirements apply;
• Power User Level 1, you must first successfully complete End User training; • Power User Level 2, you must first successfully complete Power User Level 1 and End User training; and • Super User, you must first successfully complete Power User Levels 1 and 2, and End User training.
You must enrol a minimum of 5 trainees per partner group for all partner open day courses.
Cancellation and RESCHEDULING
Contacting us. To exercise your rights under this section 'Cancellation and Rescheduling', you must tell us in writing by email at kneatacademytraining@kneat.com
Change of mind. If you are a consumer enrolled in a public open day course, you have 14 days from the purchase date to tell us by email of your decision to cancel your booking and request a full refund, provided that you have not accessed the course or the course materials. After the 14 day period, or if you have accessed the course or the course materials, you will no longer be entitled to a full refund, and you will not be allowed to transfer your enrolment to another person or to another course. If the course starts within the 14 day period you will still have the right to cancel and we will refund you a proportionate sum, but you must pay for the value of the service that was provided to you up to the point you cancel (for example, our administration costs, cost of materials and the amount of tuition time used).
Cancellation by you. Depending on the type of course you have paid for and how much advance notice of cancellation you give us, you may have a right to cancel your enrolment in an open day course and request a refund or a transfer to another date, as further described in this section:

• for us to transfer your enrolment free of charge to the next available date(s) for the same course; or
• to receive a full refund of the course fee paid by you.
Between 7 calendar days and 48 hours You can choose either:
• for us to transfer your enrolment free of charge to the next available date(s) for the same course; or
• to receive a full refund less an administration fee of 50% (plus VAT) of the course fee paid by you.
Less than 48 hours No transfers or reschedules permitted. No refund is payable for cancellation.
If you would like to transfer your place on an open day course to another person, you must tell us by email. If you notify us more than 7 days before the start date of the first session of the course there will be no charge. If you notify us less than 7 days before the start date of the first session we will charge you a €50 administration fee.
Rescheduling and cancellation by us. We have the right to reschedule the dates and timing of a Kneat Academy open day course or individual session at any time by giving you notice to the email address you provided during enrolment. You are not entitled to request any full or partial refunds for any rescheduled open day course or individual session. We have the right to cancel a Kneat Academy open day course at any time by giving you notice to the email address you provided during enrolment. In this case, we will try (but do not guarantee) to transfer you to an alternative course, subject to your payment of any applicable difference in course fees where the new course is more expensive. If this is not possible, or you do not wish to take up our offer to transfer, we will refund to you the fees you have paid for the open day course cancelled by us.
Your responsibilities. You must attend all Kneat Academy open day courses, meet all requirements, and pass all assessments and testing to successfully complete an open day course and be eligible for certification. We are not responsible if you fail any course requirements or assessment. It is up to you to ensure you give sufficient time to allow you to complete the course. You are not entitled to receive any full or partial refunds as a result of you failing any requirements or assessment for a course or as a result of you failing (for any reason) to attend or participate in any element of a course. We are not liable for any costs or expenses incurred by you in the event of cancellations or rescheduling of any course.
INFORMATION TECHNOLOGY
You are responsible for making all arrangements necessary for you to enrol and participate in an open day course on Kneat Academy and for ensuring that your device and software meets the minimum specifications and is configured correctly. It is your responsibility to obtain and pay for all necessary equipment, internet and other network services. We are not responsible for any errors or failures of such equipment, internet or network services. We are not responsible in relation to your ability to access Kneat Academy, our website, content or any related materials. You acknowledge that the quality and bandwidth of your internet or network service will affect the quality and speed of access to and participation in Kneat Academy.
By enrolling or participating in Kneat Academy, you acknowledge that the transmission of data over the internet can never be completely secure and you accept the risk that others may be able to read or intercept any content information, text or media you submit through Kneat Academy, including transmissions that are identified as secure or encrypted. You are solely responsible for regularly backing-up your data and content and any other data used in connection with Kneat Academy. You should use your own virus protection and firewall software. We do not guarantee that your use of Kneat Academy will be uninterrupted or error-free; that Kneat Academy or the information obtained through Kneat Academy will meet your requirements; or that Kneat Academy will be free from any viruses, bugs, malware or other harmful software.
LIABILITY
To the extent applicable law allows: (a) there are no warranties, conditions or other terms that are binding on us except as these Terms expressly state; (b) we provide Kneat Academy “as is” and “as available” and make no representations or warranties, express or implied, that participation in Kneat Academy, our course materials, or the outcomes obtained from our courses, will allow you to successfully complete the course, or that you will obtain any particular level of knowledge or specific results; (c) we exclude all express and implied representations, warranties or other terms (including any implied term as to quality or fitness for purpose); and (d) we are not responsible or liable for any failures or delays that arise from any cause outside of our control. Our maximum aggregate liability under these Terms, whether in contract, tort (including negligence) or otherwise, shall in no circumstances exceed the fee actually paid by you to us in respect of the booking in question.
If you are a consumer you have certain rights that cannot be excluded by contract and these Terms do not limit or exclude your statutory rights or any of your other rights that cannot be excluded by contract.
SOME FINAL TERMS
We may change these Terms or any other policies and rules at any time. If we make a change we will provide you with notice by posting a notice explaining the change on our website. If you do not agree to the updated Terms, you will not be able to enrol or participate in a Kneat Academy open day. These Terms (including any additional terms that we provide when you engage with Kneat Academy), are the only agreement between you and us regarding enrolments onto the Kneat Academy open day courses and supersede all previous agreements, representations, warranties and understandings between you and us in that respect.
These Terms are personal to you and there are no third party beneficiaries to these Terms. You are not allowed to assign, novate or transfer any of your rights or obligations under these Terms to anyone unless we agree in writing in advance. We may assign, novate or transfer any or all of our rights and obligations under these Terms to another organisation without your consent and we will tell you in writing if this happens.
If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your violation of these Terms, that will not mean that you do not have to do those things and we may take any relevant steps against you at a later date. If a court of competent jurisdiction determines any provision of these Terms to be invalid, illegal or unenforceable, it will be deemed deleted, but that does not affect the validity and enforceability of the rest of the Terms.
The formation, interpretation and operation of these Terms and any matters or disputes arising out of or in connection with them (whether contractual or non-contractual), are governed by and interpreted in accordance with the laws of Ireland. The courts of Ireland have exclusive jurisdiction on any matter or dispute (whether contractual or non-contractual) arising out of or in connection with these Terms. If you are a consumer resident in the EU, you will benefit from any mandatory provisions of the law of the member state in which you are resident. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.
If you are a consumer and wish to complain about your online purchase, you may be able to use the European Commission’s online dispute resolution (ODR) platform, which you can access at ec.europa.eu/consumers/odr.
